Terms of Service

1. OVERVIEW


These Terms of Service (“Terms”) govern your (a) access to and use of the Float State website, www.floatstate.com (the “Website”); and (b) purchase or use of any Float State products or services at our location (collectively, the “Services”). By accessing the Website or using the Services, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree, do not use the Website or Services.

 

Float State is a privately owned and independently operated wellness spa located at 2785 Cabot Dr., Suite 125, Corona, CA 92883. Float State is not a franchise.


2. CHANGES TO THESE TERMS; SITE CORRECTIONS


You can review the most current version of the Terms on the Website. We may update these Terms at any time by posting a revised version on the Website; the “Last Updated” date reflects the latest changes. Your continued use of the Website or Services after any update constitutes acceptance. We may correct errors, inaccuracies, or omissions (including descriptions, pricing, or availability) and change or update information on the Website at any time without prior notice.


3. ELIGIBILITY


The Website is offered and available to users 18 years of age or older. By using the Website, you represent and warrant that you meet this requirement.


4. SERVICES; AVAILABILITY AND CHANGES


Float State offers a variety of wellness and recovery services that may include, without limitation, floatation therapy, infrared sauna, contrast therapy, red-light (LED) therapy, salt cave/halotherapy, compression, cryotherapy (if available), massage, and facials. Services, equipment, pricing, and hours of operation may change at any time.
Services may be sold à la carte, in prepaid packages (“Packs”), or through memberships (“Memberships”). Unless otherwise stated, used Services are non-refundable.
We may set or update Float State Rules—posted in-person or online—which are incorporated into these Terms.


5. MINORS


We do not offer or provide Services to anyone under 16 years of age. Individuals aged 16–17 may be eligible for select Services only with a parent or legal guardian’s consent, signature on required waivers, responsibility for billing, and physical presence in the Float State location during services. Certain Services may require 18+ due to safety or licensing restrictions. We reserve the right to request identification and to deny Services where requirements are not met.


6. BOOKINGS; CANCELLATIONS; NO-SHOWS; LATE ARRIVALS

  • Booking: Appointments may be booked in person, by phone, or online (when available). Appointments are first-come, first-served and confirmed only when scheduled through approved channels.

  • Cancellation Policy: To respect staff and other guests, cancellations within 24 hours of the scheduled start time may incur a cancellation fee of up to 50% of the applicable session price (for example, standard for massage services).

  • No-Show: If you do not arrive for your appointment and fail to cancel, a no-show fee up to 100% of the applicable session price may apply.

  • Late Arrivals: Sessions begin and end on time. If you arrive late, the session may be shortened and will still end at the scheduled time; fees are not prorated.

  • Payment Method on File: By booking, you authorize Float State to charge any late-cancel or no-show fee to the payment method on file.

  • Service-Specific Terms: Certain services (e.g., contrast therapy or cryotherapy) may have additional screening or timing requirements. Please review posted instructions and arrive early to complete any required intake.


7. HEALTH; WAIVERS; SAFETY


Some Services require intake forms, health questionnaires, and safety waivers. You must disclose relevant health information honestly to help us determine suitability. We may deny or discontinue Services where safety is a concern, where contraindications exist, or where required forms are not completed.
All Services are non-medical and are not a substitute for professional medical advice, diagnosis, or treatment.


8. GIFT CARDS


Gift cards may be issued in U.S. dollars, are not reloadable, not redeemable for cash (except as required by law), and are subject to the terms on the card or purchase receipt. Gift cards are treated as payment instruments, not Memberships or Packs. Lost or stolen cards will not be replaced except as required by law. Use of Services purchased with a gift card remains subject to these Terms.


9. RETAIL PURCHASES; RETURNS

All purchases, including consumables (e.g., food, beverages, opened personal-care products) and merchandise, are final. Items may not be returned, exchanged, or refunded under any circumstances. Please retain proof of purchase for your records.


10. PREPAID PACKS


Packs consist of a set number of credits redeemable for designated Services. Unless otherwise noted, one credit equals one session of the designated Service. Packs are personal (non-transferable without our consent), non-refundable, and—unless otherwise stated—redeemable only at Float State. Unless a different period is stated at purchase, unused credits expire 12 months from purchase. Expired or unredeemed credits are forfeited.


11. MEMBERSHIPS (AUTO-RENEW)


11.1 Key Terms (Automatic Renewal & California ARL Disclosures)
Automatic Renewal: Memberships renew monthly until canceled.
Recurring Charges: Your authorized payment method will be charged monthly in the amount listed at sign-up (plus taxes/fees) unless and until changed or canceled.
Cancel Anytime with 30-Day Notice: You may cancel at any time with 30 days’ advance written notice (in person or via team@floatstate.com).
Confirmation: You will receive an acknowledgment of terms and a confirmation email with cancellation instructions.
Price Changes: We may adjust Membership rates with 30 days’ prior written notice.
11.2 Credits; Carryover
Each successful monthly payment allocates credits to your account as described in your plan.
Carryover: Unused credits carry over for up to 30 days unless otherwise stated, after which they expire.
11.3 Cancellation; Effect
After submitting a valid 30-day cancellation notice, you may continue to use any remaining credits through your final billing cycle. Unused credits after the final cycle are forfeited.
Membership charges are non-refundable once processed unless required by law.
11.4 Non-Transferable; Use
Memberships are personal and non-transferable. Unless otherwise noted, credits are redeemable only at Float State.

 

12. REFERRALS & PROMOTIONS


From time to time, Float State may offer referral or promotional programs. These programs are subject to specific terms and may be modified, suspended, or terminated at any time. Credits or discounts issued under such programs may include restrictions on eligibility, expiration, and stacking with other offers.

 

13. ACCOUNTS; PAYMENT AUTHORIZATION


You are responsible for all activity under your account. Keep your login credentials secure and your billing information current. A valid payment method is required to hold appointments and for any auto-renewing Membership.
You authorize Float State and its third-party payment processors to charge your payment method for all amounts due, including Services, taxes, fees, late-cancel/no-show charges, and recurring Membership dues. If payment fails, we may retry or charge a backup method. We may suspend Services until payment is resolved.


14. RIGHT TO REFUSE SERVICE


We reserve the right to deny or discontinue Services, terminate a Membership, or restrict access to our location for any lawful reason, including violations of these Terms or Float State Rules, safety issues, or inappropriate conduct.

 

15. FACILITY RULES; SAFETY & HYGIENE; PETS


You must follow all Float State Rules. Proper attire and hygiene are required. Only service animals (as defined by law) are permitted inside the facility. No pets are allowed.

 

16. PERSONAL PROPERTY


Float State is not responsible for loss, theft, or damage to personal property on our premises (including parking areas). Please leave valuables at home.

 

17. THIRD-PARTY WEBSITES, CONTENT & TOOLS


The Website may link to third-party websites, services, or content not controlled by Float State. We are not responsible for, and do not endorse, such third-party materials. Your use of third-party sites is at your own risk and subject to their terms and policies.

 

18. DISCLAIMER OF WARRANTIES


TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, ITS CONTENT, AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FLOAT STATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY FLOAT STATE CREATES ANY WARRANTY.

 

19. LIMITATION OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLOAT STATE, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE EXTENT PERMITTED BY LAW, FLOAT STATE’S TOTAL LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT.
(Some jurisdictions do not allow certain limitations; in those cases, the limits apply to the fullest extent permitted by law.)

 

20. INDEMNIFICATION


You agree to defend, indemnify, and hold harmless Float State and its owners, officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website or Services; (b) your breach of these Terms or applicable law; or (c) your violation of another person’s rights.

 

21. DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER


Informal Resolution: If a dispute arises, please contact us at team@floatstate.com so we can try to resolve it promptly.
Arbitration: Except for Excluded Claims (defined below), any claim or dispute between you and Float State arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act (FAA) governs this agreement.
Class/Representative Action Waiver: Arbitration will proceed on an individual basis only; class, consolidated, or representative proceedings are not permitted.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to team@floatstate.com within 30 days of your first acceptance of these Terms.
Venue: Arbitration shall take place in or near Riverside County, California, unless otherwise required by law.
Excluded Claims: This provision does not apply to (a) claims for injunctive or equitable relief involving intellectual property or confidentiality; or (b) claims within the jurisdiction of small claims court.


22. ELECTRONIC COMMUNICATIONS & SIGNATURES


You agree to receive notices and disclosures electronically (including by email and through the Website), and you consent to the use of electronic signatures. Electronic communications satisfy any legal requirement that communications be in writing.

 

23. GOVERNING LAW & VENUE


These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and by applicable federal law (including the FAA for arbitration). Subject to Section 21 (Arbitration), the state or federal courts located in Riverside County, California will have exclusive jurisdiction, and you consent to personal jurisdiction in those courts.

 

24. MISCELLANEOUS


Entire Agreement: These Terms, the Privacy Policy, Float State Rules, and any service-specific terms constitute the entire agreement between you and Float State.
Severability: If any provision is found unlawful or unenforceable, it will be severed, and the remaining provisions will remain in effect.
No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
Assignment: Float State may assign its rights and obligations at any time. You may not assign without our written consent.
Force Majeure: We are not responsible for delays or failures due to causes beyond our reasonable control.
Headings: Headings are for convenience only and do not affect interpretation.
